PwC Legal and PwC advise energie schwaben on the acquisition of assets from ESS Kempfle GmbH, ESS Montage GmbH, ESS eTechnik GmbH and ESS Vertriebs GmbH from insolvency

Hamburg, 5th March 2025

A multidisciplinary team from PricewaterhouseCoopers Legal AG Rechtsanwaltsgesellschaft (PwC Legal) and the auditing and consulting firm PricewaterhouseCoopers GmbH WPG (PwC Germany) comprehensively advised energie schwaben gmbh and energie schwaben solar gmbh on an asset deal concerning the four business operations of ESS Kempfle GmbH, ESS Montage GmbH, ESS eTechnik GmbH, and ESS Vertriebs GmbH from insolvency in self-administration, particularly concerning the drafting and negotiation of the complex transaction documentation.

Dirk Weimann, Managing Director of energie schwaben gmbh, says: “The energy future is climate neutral – that’s what we are working on. With energie schwaben solar, we are taking another big step towards renewable energies.”

The Managing Director of the new company, energie schwaben solar gmbh, is Timo Straten, who is also the Head of New Business Fields and strategically responsible for M&A activities at energie schwaben. Straten will realign the company and lead it into the future.

Regarding the advice from PwC, he says: “In the intense contract negotiations, the team from PwC represented us excellently.”

energie schwaben solar gmbh employs around 60 people and plans to install 500 PV systems this year. This includes the classic ten-kilowatt-peak system with storage for a single-family home, as well as megawatt power plants on the roofs of large commercial halls and municipal properties.

energie schwaben gmbh offers energy-related services for municipalities, the housing industry, commerce and industry, as well as private households. In addition to the secure supply of gas, the focus is on the production and marketing of biogas and electricity from renewable sources, the construction and operation of district and local heating networks, and services such as municipal heating planning – each in connection with renewable energies.
