PwC Legal, advise MSI Group on the merger of MSIG Insurance Europe AG and MS Amlin Insurance SE

A team from PricewaterhouseCoopers Legal AG Rechtsanwaltsgesellschaft (PwC Legal) advised Mitsui Sumitomo Insurance (MSI) in the successful completion of the cross-border merger of its European subsidiaries, MSIG Insurance Europe AG (MSIGEU) and MS Amlin Insurance SE (MSAISE), effective 1 July 2025 operating subsequently as MSIG Europe SE. PwC Legal provided comprehensive legal support for the merger, covering regulatory compliance, corporate structuring and employment implications across the relevant jurisdictions.
Mitsui Sumitomo Insurance (MSI) is a member of the MS&AD Insurance Group, a global provider of property and casualty insurance services. The completion of this transaction represents a key component in MSI’s strategy to streamline its European operations. This restructuring is expected to offer value to MSIG Europe SE’s clients, employees, and business partners while reinforcing MSI’s position as a multi-specialist insurer in Europe.
The transaction was led by PwC Legal in Germany along with PwC Legal colleagues in Belgium and Japan, together with PwC Legal Germany professionals from across all of the EEA and non-EEA jurisdictions involved. This comprehensive team worked to address the legal requirements associated with EU, national, and other countries' laws, considering the merger's cross-border nature and the varied insurance markets within which MSIG Europe SE operates.
