PwC Legal and PwC Germany BEW Solutions GmbH on the sale of heat generation plants at 140 locations

A multidisciplinary team from PricewaterhouseCoopers Legal AG Rechtsanwaltsgesellschaft (PwC Legal) and PricewaterhouseCoopers GmbH Wirtschaftsprüfungsgesellschaft (PwC Germany) has comprehensively advised BEW Solutions GmbH (BEWS) – a 100% subsidiary of BEW Berliner Energie und Wärme GmbH (BEW) – on the sale of decentralized heat generation plants at 140 locations. PwC Legal provided comprehensive legal advice to BEWS on transaction structuring as well as drafting and negotiating the transaction documentation. PwC Germany acted as exclusive Lead M&A Sell-side advisor to BEW Solution on this transaction.

With this transaction, BEWS has sold the generation plants located outside of Berlin remaining after the exit from the Vattenfall Group in eight federal states, mainly in the greater Hamburg area. This is a consistent implementation step of the strategic realignment connected with the acquisition of BEW by the state of Berlin, with a focus on the heat transition in the capital.

With the closing on September 30, 2025, the majority of the assets affected by this transaction are transferred to EGC Energie- und Gebäudetechnik Control GmbH & Co. KG, an energy services provider from Düsseldorf.

The BEW, which was re-municipalized in May 2024, operates in Berlin not only the largest district heating network in Western Europe but also offers decentralized heat solutions through BEWS.
