PwC advises on the sale of VISUS Health IT to CompuGroup Medical

A multidisciplinary team from PricewaterhouseCoopers Legal AG Rechtsanwaltsgesellschaft (PwC Legal) and PricewaterhouseCoopers GmbH Wirtschaftsprüfungsgesellschaft (PwC Germany) advised VISUS Beteiligungsgesellschaft mbH and Grönemeyer Medical GmbH & Co. KG on the sale of VISUS Health IT GmbH (VISUS Health) to CGM Clinical Deutschland GmbH (CGM).
Gerhard Wacker, Moritz Gröning and their PwC Legal team provided comprehensive legal advice to the sellers VISUS Beteiligungsgesellschaft mbH and Grönemeyer Medical GmbH & Co. KG comprehensive legal advice and, in particular, assisted in the preparation of the transaction as well as the drafting and negotiation of the transaction documentation. The legal IP advice was provided by Dr Tobias von Tucher and his team. On the antitrust side, a team led by Susanne Zühlke provided legal advice, while Dr Georg Queisner advised on public procurement law. Dr Alexander von Friesen and his advisory team, as specialists for M&A in the healthcare sector, advised on behalf of PwC Germany. The transaction team led by Matthias Gross was also involved. Tax advice was provided by the PwC Deals Tax team led by Daniel Windsheimer.
VISUS Health is one of the leading providers of Picture Archiving and Communication Systems (PACS) and Healthcare Content Management in Germany with registered office in Bochum. The IT solutions are used in more than 900 hospitals and over 600 medical practices. In 2020, sales of around 18.5 million euros were achieved. The company has more than 200 employees.
CGM belongs to the group of CompuGroup Medical SE & Co. KGaA, a listed software company with registered office in Koblenz and one of the leading e-health companies worldwide. The company develops and distributes software for physicians, medical practice and hospital teams, pharmacies and laboratories, as well as products for the networking and communication of health data and users. With locations in 18 countries and distribution in 56 countries, the group operates internationally. In 2020, CGM generated revenues of 837 million euros with approximately 8,000 employees.
