PwC Legal and PwC advise PSI Software SE on the disposal of PSI Transcom GmbH

A multidisciplinary team from PricewaterhouseCoopers Legal AG Rechtsanwaltsgesellschaft (PwC Legal) and the auditing and consulting firm PricewaterhouseCoopers GmbH WPG (PwC Germany) comprehensively advised PSI Software SE (PSI) on the sale of PSI Transcom GmbH (PSI Transcom) to Altamount Beteiligung 2 GmbH (Altamount) (a portfolio company of CHAPTERS Group AG), particularly concerning the drafting and negotiation of the transaction documentation. The sale and purchase agreement was signed in December 2024 and completed in March 2025 following approval by the Federal Ministry for Economic Affairs and Climate Action.
PSI is a leading global provider of control software solutions for energy suppliers and industrial companies. PSI enables its customers to use labour, energy and natural resources in an economically, socially and environmentally responsible way and gives them a competitive advantage by creating long-term value for its customers. With the sale of the mobility business unit, PSI is continuing its focus on industrial software for network and energy management, process industry and steel, discrete manufacturing and logistics. This lays the foundation for long-term sales and earnings growth as well as consistent capital allocation.
PSI Transcom has been the mobility business unit of PSI and is a leading provider of software solutions for the mobility sector. PSI Transcom is a software provider with around 100 employees focusing on mobility solutions for optimized personnel and vehicle availability in public transportation companies. The company has shown good growth dynamics in software solutions for electric bus depots in recent years. The strong demand for eMobility in public transportation is expected to drive further domestic and international growth for PSI Transcom in the coming years. PSI Transcom will be complementing Altamount’s portfolio in the area of critical services.
