PwC Legal and Menold Bezler advise Mayer-Kuvert-network GmbH on major restructuring

Together with Menold Bezler Rechtsanwälte Partnerschaft mbB (Menold Bezler), PricewaterhouseCoopers Legal Aktiengesellschaft Rechtsanwaltsgesellschaft (PwC Legal) provided Mayer-Kuvert-network GmbH with comprehensive legal advice on its restructuring. During that process, a family office acquired an 80% majority stake in the owner-run Mayer-Kuvert-network GmbH from its former shareholders. In doing so, the family office also discharged existing shareholder loans and extensive bank loans for which Mayer-Kuvert-network GmbH and its various subsidiaries were liable.
PwC Legal Stuttgart carried out the legal process management and led the negotiations during the entire M&A transaction. In addition to the actual transaction structuring and contract negotiations, this included, in particular, the execution of legal due diligences by the PwC network in respect of the foreign subsidiaries belonging to Mayer-Kuvert-network GmbH in Belgium, Bulgaria, the Czech Republic, Denmark, France, Hungary, Ireland, Latvia, Lithuania, the Netherlands, Norway, Poland, Russia, Slovakia, Sweden, Switzerland, the United Kingdom and Ukraine.
The financial restructuring of the entire Mayer-Kuvert Group was comprehensively overseen by Menold Bezler. This included the preparation and implementation of an insolvency plan procedure under self-administration for the subsidiary BlessOf GmbH & Co. KG. In addition, Menold Bezler carried out the legal due diligence for the German group companies within Mayer-Kuvert-network GmbH.
With more than 35 companies in 18 countries, Mayer-Kuvert-network is the largest European envelope manufacturer. Almost 20 billion envelopes are produced by the Group annually on 136 coil and 59 sheet processing machines. The Mayer-Kuvert-network group of companies employs approximately 1,750 people throughout Europe. The acquirers come from the immediate environment of Schwarz-Gruppe, Neckarsulm.
