PwC Legal advises SGL Group on business unit carve-out

PwC Legal provided comprehensive legal advice to the graphite and carbon manufacturer SGL Carbon SE on the legal separation of its business unit Performance Products. The planning and realisation of the carve-out in eight countries with regard to corporate and labour law were the focus of the consultation project. PwC experts worked in close cooperation with the lawyers of PwC Legal on the tax structuring and valuation of the transaction.
SGL Group is a world-leading manufacturer of carbon-based products. The group is headquartered in Wiesbaden and has a global structure with 41 production sites throughout the world. . The Business unit Performance Products is one of the company’s three global business units and specialises in the manufacturing of graphite electrodes, cathodes and furnace linings. In 2015, SGL Group had more than 5,600 employees and generated an annual turnover of €1.32 billion.
