PwC Legal advises Klambt media group on the acquisition of TV programming guides from Funke media group

PricewaterhouseCoopers Legal AG Rechtsanwaltsgesellschaft (PwC Legal) has provided extensive advice to Klambt Programmzeitschriften GmbH, a company of Klambt media group, on the acquisition of ten TV programming guides from Funke media group by means of an asset deal.
The focus of the advice was on negotiating the sales agreement regarding the magazine operations and all financing agreements. Funke media group had previously purchased from Axel Springer SE various print media titles, among these the TV programming guides „Funkuhr“ and „TV neu” as well as the licensing rights to publish „Bildwoche“. As one of the competent antitrust authorities involved the German Cartel Office (Bundeskartellamt) made its agreement to the completion of the sales contract between Axel Springer and Funke, signed in December 2013, contingent on Funke selling various TV programming guides to an independent acquirer accepted by the Bundeskartellamt. In addition to the TV programming guides named above Klambt also purchased the following magazine titles from Funke: „Super TV“, „Funkuhr“ „Die 2“, „TV 4 Wochen“, „TV 4×7“, „TV piccolino“, „TV GENIE“ and „My TV“.
Klambt media group is headquartered in Speyer and has editorial offices in Baden-Baden, Hamburg and Berlin. The group publishes about 50 different magazine titles, including several weekly women’s magazines, the people magazine OK!, puzzle magazines as well as cooking and baking magazines. In 2012, Klambt media group had 475 employees; the group’s revenues amounted to approximately 75 million Euros.
